1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of the website at novynix.com (the “Website”) and any software products or services provided by Novynix Technologies Private Limited (“Novynix”, “we”, “us”, or “our”), including ChatFlow (collectively, the “Services”).

By visiting our Website, submitting a contact form, signing up for early access, or using ChatFlow, you (“you” or “User”) agree to these Terms in full.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these requirements.

If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and all references to “you” include that entity.

3. Description of Services

3.1 Website

The Website provides information about Novynix Technologies and our products. It includes a contact form for enquiries and demo requests.

3.2 ChatFlow (Early Access)

ChatFlow is a WhatsApp automation platform currently offered in Early Access. It allows businesses to automate customer conversations, capture leads, and manage WhatsApp communications.

3.3 WhatsApp Business Platform

ChatFlow operates in conjunction with WhatsApp Business Platform (provided by Meta Platforms, Inc.). Your use of ChatFlow is also subject to WhatsApp Business Terms of Service and Meta's policies. You are responsible for ensuring your use of ChatFlow complies with WhatsApp's policies, including restrictions on spam and unsolicited messaging.

4. Account and Access

Access to ChatFlow is currently by invitation or approved early access request only. When access is granted:

• You are responsible for maintaining the security of any credentials we provide
• You must not share access credentials with unauthorised parties
• You must notify us immediately at info@novynix.com if you suspect unauthorised access
• You are responsible for all activity that occurs under your access credentials

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services to:

• Send spam, unsolicited bulk messages, or harass any individual or group
• Violate any applicable law, regulation, or third-party rights (including WhatsApp's policies)
• Transmit malicious code, viruses, or any disruptive content
• Attempt to gain unauthorised access to our systems or networks
• Scrape, crawl, or extract data from our Website or Services without permission
• Impersonate Novynix, our employees, or any other person or entity
• Use our Services for any fraudulent, deceptive, or misleading purpose
• Violate the privacy of any individual, including collecting personal data without consent

We reserve the right to terminate access for any User found to be in breach of these acceptable use requirements, without notice and without refund.

6. Intellectual Property

All content on the Website and within the Services — including but not limited to text, software, graphics, logos, icons, and code — is the property of Novynix Technologies Private Limited or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes, subject to these Terms.

You may not:

• Copy, reproduce, distribute, or create derivative works from our content without written permission
• Reverse engineer, decompile, or disassemble any part of our software
• Use our name, logo, or branding without prior written consent

7. Your Content

You retain ownership of any content or data you input into ChatFlow (including customer conversation data). By using the Services, you grant Novynix a limited licence to use that content solely to provide and improve the Services.

You represent and warrant that any content you submit does not violate any law or third-party rights, including intellectual property and privacy rights.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect and use your information.

9. Pricing and Payment

ChatFlow Early Access is currently provided free of charge to approved users. We reserve the right to introduce paid plans in the future. If and when we do, we will provide advance notice and updated terms. Continued use after pricing is introduced will constitute acceptance of the applicable fees.

10. Service Availability

We strive to make the Services available at all times but do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience technical difficulties that result in temporary downtime. We will endeavour to minimise disruption where possible.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable Indian law, Novynix disclaims all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Services will be error-free, uninterrupted, or secure
• That any results obtained from the Services will be accurate or reliable

This disclaimer is particularly relevant during Early Access, where the product may contain bugs or incomplete features.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Novynix Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services — including but not limited to loss of profits, data, goodwill, or business opportunities.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you have paid to us in the 12 months preceding the claim, or ₹5,000 (Indian Rupees Five Thousand), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Novynix Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content you submit to or through the Services

14. Third-Party Services

The Services integrate with or link to third-party platforms and services, including WhatsApp Business Platform (Meta), Formspree, and Google Analytics. We are not responsible for the practices, availability, or content of any third-party service. Your use of such services is governed by their respective terms and policies.

15. Termination

Either party may terminate access to the Services at any time:

• You may stop using the Services at any time. To request deletion of your data, email info@novynix.com.
• We may suspend or terminate your access if you breach these Terms, violate applicable law, or for any other reason at our sole discretion, with or without notice.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, liability limitations, and indemnification) will continue to apply.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. For significant changes, we will notify active users by email where we have your contact details.

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and other applicable Indian legislation.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Novynix Technologies regarding your use of the Services and supersede all prior agreements, representations, or understandings.
